TERMS OF SERVICE

Effective Date: 25 February 2026

These Terms of Service govern all services provided by Tjaart Andries Venter, trading as TVM Solutions, a sole proprietorship operating in the Republic of South Africa.

By engaging our services, signing a proposal, or submitting payment, the Client agrees to these Terms.

Definitions

“Company” refers to Tjaart Andries Venter.

“Client” refers to the individual or entity purchasing services.

“Services” refers to local search engine optimisation services, including Google Business Profile optimisation.

“Campaign” refers to the agreed 90-day optimisation engagement.

“Campaign Start Date” is defined in Section 6.

Scope of Services

The Company provides local SEO services, which may include:

• Google Business Profile optimisation
• On-page SEO recommendations
• Local authority and citation development
• Competitor analysis
• Ranking monitoring

The specific scope is agreed in writing prior to commencement.

The Company does not guarantee:

• Revenue
• Lead volume
• Call volume
• Conversion rate
• Business growth

The guarantee applies strictly to ranking position as defined in Section 7.

Term

All engagements are subject to a minimum three-month term.

The Performance Guarantee applies only during the initial 90-day Campaign period.

Ongoing ranking protection or maintenance requires a separate written agreement.

Fees and Payment

Fees are payable as agreed in writing.

For monthly plans:
Payment is due in advance each month.

For upfront plans:
Full payment is due prior to campaign launch.

Failure to make payment may result in suspension of Services.

Except as provided in Section 7, all payments are non-refundable.

No Exclusivity

Unless expressly agreed in writing, the Company reserves the right to provide services to multiple businesses within the same industry or geographic area.

Campaign Start Date

The Campaign Start Date begins only once all of the following are completed:

• Signed agreement
• Initial payment received
• Full access to Google Business Profile
• Website access if required
• Required onboarding information provided

Any delay by the Client delays the Campaign Start Date accordingly.

Performance Guarantee

7.1 Guarantee

The Company guarantees that the Client’s Google Business Profile will rank within the Top 3 positions on Google Maps for one agreed primary keyword within one agreed service area within 90 calendar days from the Campaign Start Date.

If this ranking is not achieved within 90 calendar days, and all eligibility conditions have been met, the Company will refund the management fees paid for the initial 90-day term.

7.2 Definition of Top 3

“Top 3” means appearing within the first three Google Maps results in the local map pack for:

• The single agreed primary keyword
• The agreed geographic service area
• A standard desktop browser
• Incognito mode
• A search conducted from within the defined service radius

Verification shall be conducted using a mutually agreed method.

Ranking fluctuations during the 90-day period do not constitute failure of the guarantee if Top 3 is achieved within the 90-day timeframe.

7.3 Client Obligations

The Performance Guarantee remains valid only if the Client:

• Provides accurate and complete information
• Responds to requests within 5 business days
• Implements requested changes
• Does not engage another SEO provider during the Campaign
• Does not independently modify the Google Business Profile without written approval
• Complies with all Google policies and guidelines

7.4 Prohibited Conduct

The Client agrees not to:

• Purchase fake reviews
• Manipulate ratings or testimonials
• Change business name, address, phone number, or primary category without written approval
• Remove or alter optimisation work performed by the Company
• Restrict or revoke access during the Campaign

Any such conduct immediately voids the Performance Guarantee.

7.5 Access Revocation

If account access is revoked, restricted, or materially limited during the Campaign, the Company may suspend Services and the Performance Guarantee shall be void.

7.6 Exclusions

The Performance Guarantee does not apply in the event of:

• Google Business Profile suspension
• Changes to business name, address, phone number, or category
• Changes to the agreed keyword or location
• Significant Google algorithm updates materially altering ranking factors
• Force majeure events

7.7 Refund Scope

Refund applies only to management fees paid for the initial 90-day term.

Refund excludes:

• Advertising spend
• Third-party software
• External services
• Domain or hosting costs

Refund requests must be submitted in writing within 7 calendar days after the 90-day period ends.

Ranking Volatility

The Client acknowledges that search rankings are subject to fluctuation due to:

• Algorithm updates
• Competitor activity
• Searcher location
• Personalisation factors

Temporary movement outside the Top 3 does not constitute breach if Top 3 is achieved within the 90-day period.

Intellectual Property

All methodologies, processes, templates, systems, and strategies used by the Company remain its intellectual property.

The Client acquires no ownership rights in the Company’s internal systems.

Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the total management fees paid during the preceding three months.

Independent Contractor

The Company acts as an independent contractor.

Nothing herein creates a partnership, joint venture, or employment relationship.

Termination

After the initial three-month term, either party may terminate with 30 days written notice.

If the Client terminates before completion of the initial term, remaining fees are payable.

Force Majeure

The Company shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to platform outages, regulatory changes, or acts of God.

Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any disputes shall be subject to the jurisdiction of South African courts.

Amendments

The Company may update these Terms at any time.

Updated Terms apply to new engagements. Existing Clients will be notified of material changes.

Entire Agreement

These Terms constitute the entire agreement between the parties and supersede prior representations or discussions.
